WHAT CONSTITUTES CONFIDENTIAL INFORMATION UNDER AN NDA IN DUBAI?

Confidential information must be clearly defined to be protected under UAE law. The definition should cover all non-public technical, commercial, financial or strategic data disclosed by the disclosing party, whether oral, written or electronic, and must exclude information that is already public, rightfully known to the recipient, independently developed or received from a third party without restriction【Federal Decree-Law No. 5 of 2012 on Combatting Cybercrimes】.

A robust definition begins with a broad statement such as "Confidential Information means any information, irrespective of its form, that is not generally known to the public and that the disclosing party treats as confidential." It then lists examples (e.g., business plans, customer lists, pricing strategies, software code, inventions) and explicitly carves out the statutory exclusions. By mirroring the language of Federal Decree-Law No. 5 of 2012, the parties align the contractual definition with the legal standard for trade-secret protection in the UAE, reducing the risk that a court will find the clause overly vague or unenforceable.

HOW LONG SHOULD THE CONFIDENTIALITY OBLIGATION LAST?

The term of confidentiality must be reasonable and tied to the nature of the information. For trade secrets, UAE law protects information as long as it remains secret, so the NDA may stipulate that the obligation survives indefinitely until the information enters the public domain through no fault of the recipient【Federal Decree-Law No. 5 of 2012】. For other confidential data, a fixed period (commonly three to five years) is acceptable if it reflects the commercial lifespan of the information.

When drafting the term, include a clause that states: "The confidentiality obligations herein shall continue for a period of [X] years following the date of disclosure, except that with respect to trade secrets, the obligations shall survive for as long as the information remains confidential under applicable law." This dual-approach satisfies both the need for a definite term for ordinary confidential information and the perpetual protection afforded to trade secrets under UAE legislation. The clause should also specify that the term is not extended by any renewal or amendment unless expressly agreed in writing.

WHAT REMEDIES ARE AVAILABLE FOR BREACH OF AN NDA IN DUBAI?

UAE law provides both civil and criminal remedies for breach of confidentiality. Civil remedies include injunctive relief to prevent further disclosure, compensatory damages for actual loss, and, where proven, consequential damages【Civil Transactions Law, Federal Law No. 5 of 1985】. Criminal liability may arise under Federal Decree-Law No. 5 of 2012 if the breach involves unauthorized access, disclosure or use of data protected as a trade secret, carrying penalties of imprisonment and fines.

The NDA should therefore contain a remedies clause that reads: "In the event of a breach, the disclosing party shall be entitled to seek injunctive relief without the necessity of posting a bond, to recover actual and consequential damages, and to pursue any criminal remedies available under applicable law." Including a provision for the recovery of reasonable attorney's fees and costs further strengthens the position of the aggrieved party. By explicitly referencing the statutory bases, the parties make it clear that the contractual remedies are complementary to, and not a substitute for, the remedies prescribed by UAE law.

WHICH LAW AND JURISDICTION GOVERN AN NDA EXECUTED IN DUBAI?

Parties to an NDA in Dubai may elect either UAE federal law or the laws of a specific free zone (e.g., DIFC or ADGM) as the governing law, provided the choice is genuine and not contrary to public policy【Federal Law No. 11 of 1992 concerning Civil Procedure】. The jurisdiction clause should designate the courts of Dubai (or the relevant free-zone courts) as the exclusive forum for any dispute.

A typical clause states: "This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the Courts of Dubai." If the parties prefer DIFC law, they must replace the reference with the DIFC Courts Law and specify the DIFC Courts as the forum. Clearly stating the governing law and jurisdiction prevents forum-shopping disputes and ensures that any judgment rendered will be enforceable within the UAE under the UAE Civil Procedure Law.

FREQUENTLY ASKED QUESTIONS

What information is excluded from the definition of confidential information?
Information that is already public domain, rightfully known to the recipient prior to disclosure, independently developed without reference to the disclosing party's information, or received from a third party who is not bound by confidentiality obligations is excluded【Federal Decree-Law No. 5 of 2012】.

Can an NDA impose a perpetual confidentiality obligation?
Yes, for trade secrets the obligation may last indefinitely as long as the information remains secret under UAE law; for other confidential information a fixed term (commonly three to five years) is considered reasonable【Civil Transactions Law, Federal Law No. 5 of 1985】.

Is it necessary to include a liquidated damages clause?
Liquidated damages are permissible if they represent a genuine pre-estimate of loss and are not punitive【Civil Transactions Law】. Many practitioners prefer to rely on actual damages to avoid the risk of the clause being deemed a penalty.

May an NDA be enforced against an employee after termination?
Yes, provided the confidentiality obligation is reasonable in scope, duration and geographic reach, and does not unlawfully restrict the employee's right to work【UAE Labour Law, Federal Law No. 8 of 1980】.

What steps should be taken if a breach is suspected?
The aggrieved party should promptly gather evidence, issue a formal notice of breach referencing the NDA clause, and seek injunctive relief through the competent court to prevent further disclosure【Federal Law No. 11 of 1992 concerning Civil Procedure】.

Does the NDA need to be notarized or witnessed?
Under UAE law, an NDA is valid if signed by the parties; notarization is not required unless the parties wish to use the document in certain official proceedings【Federal Law No. 5 of 1985 (Civil Transactions Law)】.

Can an NDA cover future inventions?
Yes, by defining confidential information to include "any inventions, discoveries, improvements, or developments conceived or reduced to practice during the term of the Agreement" the parties can protect prospective intellectual property【Federal Decree-Law No. 5 of 2012】.

How does the NDA interact with non-compete agreements?
An NDA protects confidential information, whereas a non-compete restricts competitive activity; both may coexist provided each is reasonable and does not impose an undue restraint on trade【UAE Labour Law】.

What is the effect of a change in governing law after signing?
A change in governing law requires a written amendment signed by both parties; otherwise the original governing law clause remains effective【Federal Law No. 11 of 1992 concerning Civil Procedure】.

Are electronic signatures enforceable for NDAs in Dubai?
Yes, electronic signatures that meet the requirements of the UAE Electronic Transactions Law (Federal Decree-Law No. 46 of 2006) are legally valid and enforceable【Federal Decree-Law No. 46 of 2006】.
